Please read these Terms of Service ("Terms") carefully before using the SetCloud website and services ("Service") operated by SetCloud LLC ("SetCloud," "we," "us," or "our") at setcloud.com.
1. Acceptance of Terms
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not access or use the Service.
We may update these Terms from time to time. We will provide at least thirty (30) days' notice of material changes by email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.
2. Account Registration and Responsibilities
To access certain features of the Service, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate.
- Keep your password and authentication credentials confidential. You are responsible for all activity that occurs under your account.
- Notify us immediately at support@setcloud.com if you suspect unauthorized access to your account.
- Not share your account credentials with third parties or allow others to access your account.
You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement.
3. Identity Verification
SetCloud requires identity verification before purchasing a premium or aftermarket domain. It is not required to save a card, deposit credits, or enable auto-reload. Identity verification is performed through Stripe Identity, a third-party service. By submitting to identity verification, you consent to the collection and processing of your identity documents and biometric data as described in our Privacy Policy. SetCloud does not charge a separate identity-verification fee.
4. Billing and Payments
4.1 Credit-Based Billing
SetCloud uses a credit-based billing model. You deposit credits into your account, and usage charges are deducted from your credit balance. You are responsible for maintaining a sufficient credit balance to cover your usage.
4.2 Auto-Reload
You may enable auto-reload, which automatically charges your saved payment method when your credit balance falls below a threshold you configure. By enabling auto-reload, you authorize SetCloud to charge your payment method for the reload amount without additional confirmation. You may disable auto-reload at any time from your dashboard.
4.3 Domain Registration Billing
Domain purchases are charged for the quoted registration or renewal term, including the service margin. Domain fees are non-refundable once the registration is processed.
4.4 Payment Processing
Card payments are processed by Stripe. Eligible domain orders can instead use SetCloud credits when the available balance covers the full order. By providing a payment method, you authorize SetCloud and Stripe to charge the applicable fees. You agree to Stripe's Terms of Service as they apply to your transactions.
For full refund terms, see our Refund Policy.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Send, upload, or distribute unsolicited commercial communications (spam), bulk messaging, or any content in violation of the CAN-SPAM Act, TCPA, or similar legislation.
- Distribute malware, viruses, trojans, worms, or any other malicious software or code.
- Infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party.
- Host, store, or transmit content that is illegal, defamatory, obscene, threatening, or otherwise objectionable.
- Attempt to gain unauthorized access to any systems, accounts, or data belonging to SetCloud or other users.

- Resell, redistribute, or sublicense access to the Service without our written consent.
- Interfere with or disrupt the integrity or performance of the Service.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.
6. Service Level Expectations
SetCloud is a managed service provider. We strive to maintain high availability and performance for all services. However:
- The Service is provided on a "best-effort" basis. We do not guarantee specific availability percentages or response times unless separately agreed in writing.
- We may perform scheduled maintenance that temporarily affects availability. We will provide reasonable advance notice when possible.
- We are not liable for service interruptions caused by third-party providers, force majeure events, or circumstances beyond our reasonable control.
7. Intellectual Property
7.1 SetCloud Property
The Service, including its design, code, features, documentation, trademarks, and all related intellectual property, is owned by SetCloud and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
7.2 Your Content
You retain full ownership of all content, data, and materials you upload, create, or store through the Service ("Your Content"). By using the Service, you grant SetCloud a limited, non-exclusive license to host, store, process, and display Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or close your account.
8. Data Ownership and Portability
You own your data. You may contact support to request a copy of your data by emailing support@setcloud.com. After account closure, data is deleted within a reasonable period.
9. Third-Party Services
SetCloud integrates with and relies upon third-party service providers to deliver the Service. By using the Service, you acknowledge and agree that you are also bound by the terms and policies of the following third-party providers as they apply to your use:
- Stripe — Terms of Service (payment processing, identity verification)
- Amazon Web Services (AWS) — Customer Agreement (cloud infrastructure, hosting, AI services)

10.2 Termination by SetCloud
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if: (a) you breach these Terms or our Acceptable Use Policy; (b) your account is involved in fraudulent activity; (c) continued provision of Service to you is impractical or would violate applicable law; or (d) your account has been inactive for more than twelve (12) consecutive months. 11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT SHALL SETCLOUD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
- SETCLOUD'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO SETCLOUD IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Indemnification
You agree to indemnify, defend, and hold harmless SetCloud, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) Your Content.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of Florida for the resolution of any disputes arising out of or relating to these Terms.
14. Dispute Resolution
Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at legal@setcloud.com. We will work in good faith to resolve the dispute within thirty (30) days. If the dispute cannot be resolved informally, either party may pursue legal remedies in the courts specified in Section 13.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or other representative proceeding.
